Associate General Counsel - Finance and Real Estate

Habitat for Humanity International (HFHI) is seeking an experienced attorney to join our legal department as Associate General Counsel - Finance and Real Estate. Reporting to the Deputy General Counsel, and working alongside a small, dedicated team of other attorneys with specific areas of focus, this position primarily works on finance and real estate issues and programs relevant to our more than 1,100 US-based Habitat for Humanity affiliates.

One of the primary functions of the role is providing legal counsel and support for Habitat Mortgage Solutions™, a nationally certified Community Development Financial Institution (CDFI), certified in 2017. HMS is a wholly-owned entity of HFHI and was created to serve our US network of affiliates. HMS provides an array of services to Habitat affiliates to support their work as affordable mortgage originators, home-builders, sellers, and partners for housing and community solutions.

This position is strongly preferred to be based at our headquarters office in downtown Atlanta and involves up to 5% travel within the US.

Key responsibilities:

*Act as lead in-house attorney for Habitat Mortgage Solutions and its capital development finance program, including new products to provide access to the secondary mortgage market which includes classic CDFI and real estate development lending (predevelopment, construction, land acquisition and bridge loans).
*Provide on-going support for previously closed offerings in HFHI’s pre- Habitat Mortgage Solutions mortgage leveraging program (FlexCAP) and predecessor affiliate finance program offerings.
*Consult with US Habitat affiliates on various real estate and consumer mortgage issues, including assistance with purchase and sale agreements, lease agreements, easements, licenses and construction contracts.
*Coordinate ongoing review and update of form real estate and consumer lending documents, disclosures and related documents.
*Provide general legal support to HFHI in areas of real estate acquisition, leasing, finance and related regulatory matters, tax issues, compliance and risk management.
*Assist in development and review of legal content, templates and forms for HFHI’s Knowledge Center, especially with respect to real estate and mortgage lending activities of US affiliates.
*Respond to inquiries from affiliates on various issues, including legal and policy compliance and risk management.
*Provide support for HUD funding programs (HOME, SHOP, Section 4 Capacity Building) administered by HFHI, as well as technical assistance to US affiliates accessing federal funds directly from their local grantees, Federal Home Loan Bank affordable housing programs, and state housing finance agency programs.

Requirements:

*J.D. degree and license to practice law.
*6-12 years of experience in legal practice, with substantial experience in real estate secured financial transactions, such as public finance, corporate finance and syndications.
*Strong leadership, interpersonal and supervisory skills
*Keen business acumen
*Excellent judgment and instincts
*A self-starter with strong work ethic and positive outlook.
*Comfortable working in a global, humanitarian, faith-based organization.

*Experience with HUD funding programs, including without limitation HOME Investment Partnership Program, Self-Help Home-ownership Opportunity Program, Community Development Block Grant
